Pre-Built Legal Templates (ECCA)

Loyva ships with a small set of pre-built legal templates so you can send standard agreements without writing them from scratch. The flagship is the ECCA (Electronic Chattel Paper Custody Agreement), a tri-party agreement designed for security and finance workflows.

What ECCA is for

The ECCA is a tri-party agreement between the Originator, the Custodian, and the Secured Party. It establishes who holds the Authoritative Copy of the electronic chattel paper and how control transfers, in line with UCC § 9-105 and the UETA / E-SIGN provisions for electronic records.

Springing control

The template includes springing control language: the Secured Party can take control of the Authoritative Copy on a defined trigger event (default, assignment, etc.) without needing a new agreement at that time.

How to send an ECCA

  1. Go to Templates and open the Pre-Built Templates wizard.

  2. Pick ECCA, Tri-Party Agreement.

  3. The wizard prompts you for the three parties (Originator, Custodian, Secured Party) and the standard prefill fields.

  4. Review the generated document, the variables are already mapped to the right roles.

  5. Send. All three parties sign in the order you configured.

  • UETA / E-SIGN consent language

  • Authoritative Copy designation that flows into the vault on completion
